Cross-border Qualified Entities

List of qualified entities designated to bring ‘cross-border representative actions’

The authorities of the EU Member States concerned have designated the entities listed below as being qualified to bring cross-border representative actions under Article 4 paragraphs 1, 2, 3 and 7 of Directive (EU) 2020/1828. __

As defined by Article 3 paragraph 7 of the Directive ‘cross-border representative action’ means a representative action brought by a qualified entity in a Member State other than that in which the qualified entity was designated.

The present list is created, constantly updated, and made public by the European Commission services based on notifications made by the EU Member States as foreseen by Article 5 paragraphs 1 and 2 of the Directive.

As provided by Article 6 paragraph 3 of the Directive, courts and administrative authorities shall accept the present list as proof of the legal standing of the qualified entity to bring a cross-border representative action, without prejudice to the right of the court or administrative authority seised to examine whether the statutory purpose of the qualified entity justifies its taking action in a specific case.

The objects of the foundation are to represent the interests of damaged parties with regard to any form of disadvantage and mass damage that the damaged parties claim to have suffered or will suffer as a result of any fraudulent, misleading or unfair commercial practice that is unlawful under the applicable regulations, including - but not limited to - one or more violation(s) of (European, Dutch or foreign) competition law or (European, Dutch or foreign) consumer law, or other forms of unlawful conduct. The foundation also aims to do everything that is related to or may be conducive to the foregoing, all in the broadest sense of the word, including but not limited to: 

  1. taking action against (threatened) infringements of the rights of damaged parties in connection with violations of competition law, including cartel agreements and abuse of a dominant position;
  2. taking action against (threatened) infringements of rights or the position of damages parties in relation to violations of Union and/or national consumer protection regulations, including but not limited to Council Directive 93/13/EEC of five April nineteen hundred and ninety-three (05-04-1993) on unfair terms in consumer contracts, the Consumer Protection Directive/EU of the European Parliament and of the Council of twenty-fix October two thousand and eleven (25-10-2011) on consumer rights, amending the Unfair Terms Directive of the Council and Directive 1999/44/EC of the European Parliament and of the Council and repealing Directive 85/577/EEC and Directive 97/7/EC of the European Parliament and of the Council and the Directive of the European Parliament and of the Council of eleven May two thousand and five (11-05-2005) concerning unfair business-to-consumer commercial practices in the internal market and/or any national laws or regulations deriving therefrom;
  3. acting against (threatened) infringements of rights and position of damages parties in connection with financial services or products, where damage has been caused by, but not limited to, deception, fraud, price manipulation and/or non-disclosure of price-sensitive information, non-conformity of products and/or product liability and/or in connection with violations of Union and/or national regulations;
  4. acting against (threatened) infringements of rights of damages parties in connection with a defect in or of a product;
  5. the representation of the interests of damaged parties in connection with a specific claim;
  6. representing the joint interests of damaged parties and representing any damaged parties in legal proceedings within the Netherlands and other jurisdictions, including civil, criminal and regulatory proceedings, as the case may be;
  7. obtaining and distributing financial compensation for (part of) the damage which any damaged party, including participants, has or may have suffered;
  8. doing all that is connected therewith or may be conducive thereto, all to be interpreted in the broadest sense; 

 in far as this is deemed appropriate by the board.

The objective of the foundation is to advocate for the interests of natural persons who use the internet and/or use other products and/or services that process personal data, as a result of which these users may at any time have to deal with a violation of their right to privacy, including but not limited to their right to protection of personal data, or may have to deal with a violation of their consumer rights, or violation of other fundamental or legal rights, all in the broadest sense of the word. The foundation also aims to do everything that is related to the aforementioned or that may be conducive to it, all in the broadest sense of the word, including but not limited to:  

a. advocating for the interests of aggrieved parties in the Netherlands and the rest of the world; 

b. promoting the (collective) interests of aggrieved parties and representing aggrieved parties in legal proceedings within the Netherlands and in other jurisdictions, such as civil, criminal and administrative proceedings, as the case may be; 

c. obtaining and distributing financial compensation for (part of) the damages that the aggrieved parties, including participants, claim to have suffered; 

d. everything related to the above or that may be conducive to it, all in the broadest sense of the word; 

all this insofar as the board deems it appropriate.

The association aims to promote the interests of and provide information to investors, mainly in Europe, and to promote adequate governance according to national and international standards ofissuers of securities, all in the broadest sense of the word. a. exercising the rights - including the exercise of meeting and voting rights - to securities held by the association and to securities held by other persons, provided that the association has been authorized to do so;

f. representing the interests of non-members by entering into contractual relationships with, among others, institutional investors; and
